Terms of Use

These terms set the rules for NDPMV, the ndpmv.org hub, and paid access.

Who we are

NDPMV supplies tools, content, and resources for audiovisual experiences.

NDPMV is the name on bank statements for this trader. Registered trade names: NDPMV and NeuralDrift.

We operate from the Netherlands. Dutch consumer law and EU distance-selling rules apply to consumers in the EEA and the United Kingdom. Those rules apply in addition to these terms.

Agreement

These terms apply when you visit ndpmv.org or a product we publish, create an account, or buy a paid plan.

A product can publish its own terms, privacy policy, or refund policy.

Where a product page conflicts with the matching ndpmv.org page, the product page controls for that product.

The ndpmv.org page still applies where the product page is silent.

A product page cannot limit a mandatory consumer right or a GDPR right that the law gives you.

Every NDPMV product runs checkout on pay.ndpmv.org. Products do not process the payment.

Unless checkout or a product page states otherwise, the terms and policies on ndpmv.org apply to every payment through that flow.

By doing any of those acts, you accept these terms, the Privacy Policy, the Refunds page, and the Acceptable Use rules.

The effective date is September 3, 2026. The version id is 2026-09-03. The date on this page is the current version.

Checkout records the version you accept. If you use the service for an organization, you confirm that you can bind that organization.

The service

The service includes the hub, every product we publish, and the tools, content, and resources in your tier.

NDPMV publishes tools, content, and resources for audiovisual work. You buy a plan at a capability tier, not a standalone product.

A tier unlocks every product that the tier includes at the time you use it. Checkout and the account page list the current tier names and what they include.

We can add a product to a tier. That does not create a second charge for a subscriber who already holds that tier.

Free use has limits. Paid tiers add capacity, export options, commercial use, activations, and bundled content, as checkout states.

The Free tier does not include a commercial-use license. Paid tiers that checkout marks as commercial do include that license.

Current products

These products are current. Other products that we publish and mark as included in your tier also fall under these terms.

A planned product is not a delivery promise. We can change, pause, or stop a product.

  • Neural Drift (neuraldrift.app): Browser software for audio-reactive visuals in live performance, rehearsal, and installation.

The hub

ndpmv.org is the identity, entitlement, licensing, and billing hub for every product we publish.

Account, invoices, license keys, and activations live on ndpmv.org hosts. Checkout for every product runs on pay.ndpmv.org. Products ask the hub what you may do.

Customer data that we need to process a payment, or that law requires us to keep, can exist on ndpmv.org and on a product website.

That can include an email, a name, a billing address, a payment status, and an invoice record. We do not store full card numbers on NDPMV systems.

A product can use its own host. That host is an NDPMV product surface, not a second seller.

License

NDPMV products, content, design, and trademarks stay our property or the property of our licensors.

We give you a limited, non-exclusive, non-transferable, revocable license to use the products in your tier for your own work.

You do not buy the products. You buy access and a license for the term you pay for, or for free use while we offer it.

You can use the picture or other output that a product generates, subject to the rights in your own media and to the commercial-use rule for your tier.

Do not sell, rent, sublicense, or host NDPMV as a competing service. Do not copy the product except as law allows.

Do not reverse engineer the service except to the extent that mandatory law allows interoperability work.

License keys and activations

Desktop apps and plugins can use a license key and machine activations. The hub issues the key. We show the raw key once.

Keep the key secret. Do not publish it. Do not share it to evade a seat limit.

Activation binds a machine fingerprint up to the seat cap on your tier. Checkout and the account page state the cap.

We can refuse or revoke an activation for abuse, a shared key, or a breach of these terms.

Perpetual fallback

For a desktop app or plugin that we mark as eligible, twelve months of paid access grants permanent use of the version current at cancellation.

The web app is not eligible. Cloud features and later versions are not part of the fallback.

The signed license records the eligible version. After the paid period ends, that version stays usable offline. Newer versions need a new paid term.

Your work

You keep the rights to your media, project files, and other work you create.

You give us the rights needed to store, copy, transmit, restore, and review uploaded assets and projects for your account and for moderation.

You also give us the rights needed to process data on your device for output or local render.

You must have the rights to all content that you use. You must obey applicable law and any third-party terms that apply.

Feedback that you send to us can be used to improve the service without payment to you. Feedback does not include your media files.

When you use our products

A product can include tools, hosted access, and digital assets. Checkout states whether you pay once, subscribe, or use a free tier.

A product can supply tools, content, or a plugin that runs in a host application.

We can also supply downloadable content or streamable media.

You can load files that the product accepts. Analysis of a file or a local input can stay on your device.

Some products let you upload files and store projects in a cloud library, up to the cap that checkout or the product states.

An upload starts only when you choose to save assets or projects to the cloud library. If your tier has no cloud library, projects stay on your device.

Hosted files stay private to your account. Other users cannot open them.

We can review an uploaded file to moderate abuse, illegal content, or a breach of the Acceptable Use rules. We do not promise to watch every file.

You can delete a hosted copy from your account.

A cloud copy is not a backup promise. Export a project file if you need an independent copy.

Host applications

A plugin runs inside a host application, such as After Effects or Resolume. You must have a valid license for that host.

We are not Adobe, Resolume, or any other host vendor. Their terms still apply.

A fault in the host, a plugin host API change, or a host license issue does not make us liable for a missed deadline or a lost booking, to the extent that law permits.

Restrictions

You must obey the Acceptable Use rules. Those rules are part of these terms.

Do not attack the service, bypass limits, disrupt other users, or use our products to access systems without permission.

Do not upload malware or unlawful content. Do not use a stolen payment method. Do not open an account for a person who cannot accept these terms.

Availability and backups

Features can change, pause, or stop. Local data and cloud library files can be lost.

Export project backups often. Do not use the service as the only copy of important work.

There is no service-level promise unless a later written order says otherwise.

Prices and currency

The product and the Mollie checkout page show the current price, interval, and transaction currency before you pay. That checkout amount is the price of the contract.

Consumer prices in the EEA include VAT unless checkout says otherwise. A business buyer can receive a VAT invoice. Reverse charge can apply where the law allows.

A listed price can change. A change does not alter a period you already paid, except as the Subscriptions section says for a later renewal.

Payment

Mollie B.V. processes paid access. Checkout shows the payment methods that are available to you.

Mollie B.V. collects the payment. We do not store full card numbers on NDPMV systems.

You authorize us and the payment provider to charge the selected method for the first period and for each renewal until you cancel.

A first iDEAL payment can create a SEPA Direct Debit mandate for renewals. We send a pre-notification email before each SEPA collection.

A failed payment can suspend paid features after the dunning window. The account stays. We do not revoke license keys only because a renewal failed.

Payment terms are immediate at checkout unless checkout states a later capture. There is no invoice term for card or wallet checkout.

Delivery

NDPMV is a digital service. There is no physical shipment and no return of goods.

Free access is available when we admit you to a product.

Paid access starts when payment succeeds and we enable the tier on your account, unless you refuse immediate delivery at checkout.

Delivery is complete when paid features are available in a product under your account.

Withdrawal and refunds

The Refunds page states the full withdrawal and refund rules. That page is part of these terms.

If you are a consumer in the EEA or the United Kingdom, you have 14 days to withdraw from a paid purchase, unless you consent to immediate delivery and paid access starts.

The product buy action asks you to consent to immediate delivery and to acknowledge that you lose the 14-day withdrawal right. We store that consent with the terms version when payment starts.

Subscriptions

A paid plan renews each billing period until you cancel. Checkout states the interval. The interval can be monthly or annual.

Cancel before the renewal date to stop the next charge. Access continues until the end of the period you already paid.

We do not refund the remaining time in a paid period after you cancel, except where law requires it.

If a price or plan feature will change at renewal, we give at least 30 days' notice in the product or by email before that renewal. You can cancel before the new price applies.

A switch that increases what you pay can apply at once, with credit for unused time. A switch that decreases what you pay applies at the period end.

Chargebacks

Contact us before you dispute a charge with your bank or card issuer.

An unjustified chargeback can lead to suspension of the account and recovery of the payment-provider costs, to the extent that law permits.

Mollie B.V. handles the dispute process with the payment method. You still owe a valid unpaid fee.

Availability and warranties

We supply the service as available. Devices, browsers, and host applications vary. We do not warrant a particular result on your setup.

To the extent that law permits, we disclaim implied warranties of merchantability, fitness for a purpose, and non-infringement.

Mandatory consumer warranties in your country stay in force. This clause does not limit those rights.

Liability

To the extent that law permits, NDPMV is not liable for lost local data, lost hosted files, lost profits, or indirect damage.

To the extent that law permits, our total liability for all claims about the service is limited to the amount you paid us in the 12 months before the claim, or EUR 100 if you paid nothing.

We do not limit liability for death or personal injury caused by our negligence, for fraud, or for any liability that law does not allow us to limit.

Some regions do not permit all limits, so local law can give you more rights.

Indemnity

You cover NDPMV for claims that arise from your content, your use of the service, your host-app use, or your breach of these terms, to the extent that law permits.

This does not require a consumer to cover us beyond what mandatory law allows.

Suspension and termination

We can suspend or end access for abuse, unpaid fees after dunning, security risk, or a breach of these terms or the Acceptable Use rules.

You can stop using a free product at any time. You can cancel paid access as the Subscriptions section describes.

After paid access ends, the paid license ends, except for a perpetual fallback that these terms grant.

We delete a cloud library after a short period, except where law requires a record.

Local project files stay on your device until you clear them. Export a backup first.

Clauses that by their nature should survive, including license limits, liability, and governing law, stay in force.

Changes

We can change these terms. The new version applies after we publish it on this page with a new date and version id.

For a material change that affects paid access, we also give notice in the product or by email when we have an account email.

If you continue to use the service after the new date, you accept the new terms. If you do not accept them, stop using the service and cancel paid access.

Governing law

These terms and any dispute about NDPMV are governed by the laws of the Netherlands, without its conflict-of-law rules.

The courts of the Netherlands have jurisdiction, except that a consumer may also bring a claim in the consumer's country of residence when mandatory law gives that right.

The European Commission online dispute resolution platform is at https://ec.europa.eu/consumers/odr. We are not bound to use a specific alternative dispute body.

For a privacy or deletion request, email gdpr@ndpmv.org.

We aim to answer within 14 days. State your name, the email used at checkout, and the problem.

Nothing in these terms limits a consumer's right to a statutory complaint procedure or a supervisory authority.
